Effective date: 1 April 20261. Introduction
These Terms and Conditions ("Terms") govern your access to and use of the products, services, platforms, and applications ("Services") provided by Tipinc Limited ("Tipinc," "we," "us," or "our"), a company registered in England and Wales under company number 13101378, with its registered office at 6th Floor, 25 Farringdon Street, London, EC4A 4AB.
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.
2. About Tipinc
Tipinc provides payment infrastructure technology to acquirers, merchants, and their partners. Our Services may include payment collection platforms, settlement orchestration, B2B commerce tools, and related technology products delivered directly or under white-label arrangements through our partners.
Tipinc is a technology provider. We are not a bank, an electronic money institution, or a payment institution. Payment processing, fund holding, and related regulated activities are performed by our licensed partners.
3. Eligibility
Our Services are used by acquirer partners, merchants, their employees, and end users. By accessing the Services, you represent that you have the legal capacity to enter into a binding agreement in accordance with the laws of your jurisdiction. Where you access the Services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
4. Your Account
Where access to the Services requires an account, you are responsible for maintaining the confidentiality of your account credentials, all activity that occurs under your account, and ensuring that the information you provide is accurate and kept up to date.
You must notify us immediately at [email protected] if you become aware of any unauthorised use of your account.
5. Use of the Services
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not use the Services in any way that breaches any applicable local, national, or international law or regulation, is fraudulent or has any fraudulent purpose or effect, or interferes with or disrupts the integrity or performance of the Services.
We reserve the right to suspend or terminate your access to the Services at any time if we reasonably believe you are in breach of these Terms.
6. Intellectual Property
All intellectual property rights in the Services, including but not limited to software, designs, trademarks, logos, and content, are owned by or licensed to Tipinc. Nothing in these Terms grants you any right to use our intellectual property except as expressly permitted.
Where the Services are delivered under a white-label arrangement through one of our partners, the partner's branding may be applied. This does not transfer any intellectual property rights to you or the partner except as set out in a separate agreement.
7. Third-Party Services
Our Services may integrate with or rely upon third-party services, including payment processors, banking partners, open banking providers, and card scheme networks. Your use of such third-party services is subject to their own terms and conditions. Tipinc is not liable for the acts or omissions of any third party.
8. Fees and Payment
Fees for the Services are as set out in your agreement with Tipinc or with the partner through whom you access the Services. We reserve the right to change our fees upon reasonable notice. All fees are exclusive of VAT unless stated otherwise.
9. Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection legislation, including the UK General Data Protection Regulation ("UK GDPR") and the Data Protection Act 2018. Where we process personal data on your behalf, the terms of a separate data processing agreement shall apply.
10. Limitation of Liability
To the fullest extent permitted by law, Tipinc shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity arising out of or in connection with your use of the Services.
Our total aggregate liability to you in respect of any claims arising out of or in connection with these Terms shall not exceed the total fees paid by you to Tipinc in the twelve months preceding the claim.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.
11. Indemnification
You agree to indemnify and hold harmless Tipinc, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms or your use of the Services.
12. Modifications
We may update these Terms from time to time. Material changes will be communicated to you via email or through the Services. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.
13. Termination
Either party may terminate the use of the Services in accordance with the terms of the applicable service agreement. Upon termination, your right to access the Services will cease. Clauses that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall continue in effect.
14. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
